1. Introduction

Welcome to Cmarts.lk, a B2B Multivendor Marketplace based in Sri Lanka. By accessing or using our platform, you agree to comply with these Terms & Conditions. Please read them carefully before using our services.

2. Definitions

• “Platform” refers to Cmarts.lk and all its services.
• “Vendor” means a registered seller who lists and sells products.
• “Buyer” means any registered or guest user purchasing products.
• “User” refers to anyone using the platform, including vendors and buyers.

3. Eligibility

• Users must be 18 years or older to register.
• Businesses must provide accurate and legal business details.
• We reserve the right to suspend accounts if eligibility requirements are not met.

4. Vendor Responsibilities

• Provide accurate product details, images, and pricing.
• Ensure products comply with Sri Lankan laws and regulations.
• Complete registration and verification before selling, including:
• Uploading a valid National ID card for identity verification.
• Submitting a recent utility bill (e.g., electricity bill) for address verification.
• Maintain accurate and up-to-date business details.
• Handle orders, shipping, returns, and warranties promptly.
• Not list prohibited or counterfeit goods.
• Pay applicable platform fees and membership charges.

5. Buyer Responsibilities

• Provide accurate information during registration and checkout.
• Use the platform only for lawful business transactions.
• Not misuse, abuse, or attempt to exploit the platform.

6. Orders, Payments & Withdrawals

• Payments must be made through authorized payment gateways only.
• Vendors are responsible for fulfilling and shipping confirmed orders.
• Vendor earnings will be credited after successful transactions.
• Minimum Withdrawal Threshold: Vendors must achieve at least LKR 20,000 before requesting a withdrawal.
• Withdrawals are only processed for fully verified vendors (ID + Address verification).
• We may hold or delay payments in disputes, fraud suspicion, or incomplete verifications.

7. Membership & Subscriptions

• Vendors may purchase membership packages with different features.
• Membership fees are non-refundable unless otherwise stated.
• Failure to renew may result in account or feature restrictions.

8. Advertising Credits

• Credits included in membership packages must be used within validity period.
• Credits cannot be transferred, exchanged, or refunded.

9. Content & Intellectual Property

• Vendors retain ownership of product images and descriptions but grant us a license to display and promote them.
• Users may not copy, reproduce, or misuse platform content.
• All trademarks, logos, and designs of the platform remain our property.

10. Media & Comments

• Vendors and buyers may upload media (logos, product images). Uploads must be lawful and free from sensitive metadata.
• Comments, reviews, and feedback must be honest and respectful.
• We may remove abusive, offensive, or fake content.

11. Prohibited Activities

• Posting illegal, harmful, or misleading content.
• Using the platform for fraudulent or deceptive purposes.
• Attempting to hack, disrupt, or misuse our services.

12. Limitation of Liability

We act as a marketplace provider and are not directly responsible for transactions between vendors and buyers. We are not liable for product quality, delivery delays, or disputes. Our maximum liability is limited to the membership fees paid in the last 12 months.

13. Account Suspension & Termination

We may suspend or terminate accounts that violate these Terms & Conditions, engage in fraud, illegal activities, or harm the integrity of our platform.

14. Governing Law

These Terms & Conditions are governed by the laws of Sri Lanka. Any disputes shall be resolved under Sri Lankan courts.

15. Changes to Terms

We may update these Terms & Conditions from time to time. Continued use of the platform after updates means you accept the revised terms.
